Khatiya Connects – Collaboration Strategy Services

By booking a discovery call, signing a proposal, or making payment for services provided by Khatiya Connects (“we,” “us,” or “our”), you (“Client” or “you”) agree to be bound by these Terms & Conditions.
Please read these terms carefully before engaging our services. If you do not agree with any part of these terms, please do not use our services.

1. SERVICES PROVIDED
1.1 Scope of Services
Khatiya Connects provides collaboration strategy and management services for B2B coaches, consultants, and digital product creators, including but not limited to:
- Research and vetting of collaboration opportunities (bundles, summits, podcast swaps, freebie exchanges)
- Strategic visibility planning and consultation
- Done-for-you application submissions on behalf of clients
- Relationship management with collaboration hosts
- Dashboard management and tracking
- Promotional content creation (depending on package)
- Performance reporting and optimization
1.2 What We Do NOT Provide
Our services do NOT include:
- General virtual assistant or administrative tasks
- Guarantee of acceptance to specific collaborations
- Guarantee of specific subscriber numbers or revenue results
- Social media management beyond collaboration promotions
- Website design or technical support
- Email list management or email service provider setup
- Creation of client’s lead magnets or freebie content
- Daily coaching or hand-holding
1.3 Service Customization
All services are customized to each client’s business, goals, and capacity. The exact deliverables are outlined in the client’s individual proposal and confirmed during the strategy session.
2. CLIENT RESPONSIBILITIES
2.1 Required from Client
To ensure successful service delivery, clients must:
- Provide accurate and complete information during onboarding
- Supply all required materials (lead magnet, bio, headshot, links) within 7 days of onboarding
- Respond to opportunity approval requests within 48 hours
- Promote accepted collaborations according to host requirements
- Attend scheduled strategy/check-in calls or reschedule with 24-hour notice
- Maintain professional communication with us and collaboration hosts
- Notify us immediately of any changes to availability, offers, or business focus
2.2 Promotional Capacity
Clients must have the capacity and commitment to promote collaborations when accepted, including:
- Sending required number of emails to their list
- Creating social media content (if applicable)
- Providing promotional materials by host deadlines
- Responding to host communications in a timely manner
Failure to promote collaborations may result in:
- Damage to client’s reputation with hosts
- Reduced future acceptance rates
- Termination of services at our discretion
2.3 Communication Standards
Clients are expected to:
- Respond to our emails within 48 business hours
- Attend scheduled calls or provide 24-hour cancellation notice
- Communicate changes, concerns, or challenges promptly
- Treat our team with professionalism and respect
3. PAYMENT TERMS
3.1 Pricing & Packages
Current pricing is listed on our website at khatiyaconnects.com. We reserve the right to adjust pricing for new clients with 30 days’ notice. Existing clients maintain their contracted rate for the duration of their commitment period.
Available packages:
- Visibility Accelerator: $499/month
- Visibility Amplifier: $899/month
- Visibility Authority: $1,497/month
3.2 Payment Schedule
Option 1: Monthly Billing
- First payment due upon signing (Month 1)
- Subsequent payments auto-billed on the same date each month
- Payment must be received before service delivery begins
Option 2: Pay-in-Full
- Full payment due upon signing
- 10% discount applied automatically
- Subject to refund policy outlined in Section 6
3.3 Accepted Payment Methods
We accept payment via:
- Payoneer (invoicing and card payments)
- Other methods as agreed in writing
3.4 Late Payments
- Payments are due on the date specified in the invoice
- Late fee of $50 applies to payments more than 7 days overdue
- Services may be paused if payment is more than 14 days late
- Persistent late payment may result in service termination
3.5 Currency
All prices are listed in USD. Exchange rate fluctuations are the client’s responsibility if paying in another currency.
4. SERVICE COMMITMENT & DURATION
4.1 Minimum Commitment Periods
All packages require a 2-month minimum commitment.
Minimum commitment begins on the date of first payment and strategy session completion.
4.2 Renewals
Services automatically renew month-to-month after the minimum commitment period unless either party provides written notice of cancellation at least 14 days before the next billing date.
4.3 Pause Policy
Clients may pause services for one month per quarter with the following conditions:
- Minimum 7 days’ written notice required
- Pause must align with billing cycle
- No refunds for partial months
- Maximum one pause per 3-month period
4.4 Early Termination by Client
If client terminates services before the minimum commitment period:
- Pay-in-full clients: Subject to refund policy in Section 5
- Monthly billing clients: Responsible for remaining commitment amount OR 50% of remaining months, whichever is less
Exception: Termination may be waived without penalty if we mutually agree services are not a good fit within the first 30 days, subject to refund policy.
4.5 Termination by Khatiya Connects
We reserve the right to terminate services immediately without refund if:
- Client violates these terms
- Client engages in abusive, threatening, or disrespectful behavior
- Client consistently fails to fulfill their responsibilities (see Section 2)
- Client misrepresents their business, audience, or intentions
- Client requests services outside our scope repeatedly
- Client’s promotional failures damage our reputation with hosts
5. REFUND POLICY
5.1 30-Day Satisfaction Period with Work Deduction
We offer a 30-day satisfaction period for new clients with the following terms:
- If not satisfied within first 30 days, you may request a refund
- Refund amount will be calculated as: Total paid minus work completed.
- Minimum $150 retained for initial setup and onboarding
- Refund request must be submitted in writing with specific reasons
- Refund processed within 14 business days
- Client forfeits access to all materials, dashboards, and work product
5.2 After 30 Days
After the initial 30-day period:
- No refunds for services already rendered
- No refunds for monthly payments already processed
- No refunds if client fails to fulfill their responsibilities
- No refunds for pay-in-full packages beyond 30 days (minus work completed)
5.3 Non-Refundable Circumstances
Refunds are NOT provided for:
- Collaborations that don’t accept client (acceptance is not guaranteed)
- Lower-than-expected subscriber numbers from collaborations
- Client’s inability to promote due to personal circumstances
- Client’s change of business direction or priorities
- Client’s dissatisfaction with general collaboration results (vs. our service quality)
6. RESULTS & EXPECTATIONS
6.1 No Guaranteed Outcomes
We provide professional collaboration management services but cannot and do not guarantee:
- Acceptance to any specific number of collaborations
- Specific subscriber growth numbers
- Revenue generation from collaborations
- Conversion rates of new subscribers
- Host response times or behavior
- Quality of leads from any specific collaboration
6.2 What We DO Guarantee
We guarantee to:
- Research opportunities monthly
- Present only vetted, quality-matched opportunities
- Submit professional applications using best practices
- Provide transparent communication and reporting
- Deliver all services outlined in your specific package
- Respond within stated timeframes (24-48 hours depending on package)
6.3 Factors Outside Our Control
Results depend on factors we cannot control, including but not limited to:
- Quality and appeal of client’s lead magnet
- Client’s promotional efforts and audience engagement
- Host’s audience size and engagement accuracy
- Market saturation in client’s niche
- Seasonality and timing of collaborations
- External platform algorithm changes
7. INTELLECTUAL PROPERTY
7.1 Client Materials
Client retains full ownership of all materials provided to us, including:
- Lead magnets and freebie content
- Brand assets (logos, photos, copy)
- Business information and strategies
7.2 Work Product
Work product created by us during service delivery (application emails, promotional content, strategy documents) becomes client’s property upon full payment.
7.3 Our Materials
We retain ownership of:
- Our processes, systems, and methodologies
- Templates and frameworks we’ve developed
- Internal tracking and research databases
- Course content and training materials
Clients may not resell, redistribute, or claim ownership of our proprietary materials.
7.4 Portfolio & Testimonials
With client permission, we may:
- Use client name and results in case studies (anonymized if requested)
- Request testimonials for marketing purposes
- Display client logos on our website (if applicable)
Clients may decline permission at any time by written request.
8. CONFIDENTIALITY
8.1 Our Commitment
We agree to keep confidential all proprietary business information shared by clients, including:
- Revenue numbers and business metrics
- Launch strategies and timelines
- Email list details and engagement data
- Personal information beyond what’s publicly available
8.2 Exceptions
Confidentiality does not apply to:
- Information already publicly available
- Information required to provide services (e.g., sharing client details with collaboration hosts)
- Information required by law to disclose
- Anonymized, aggregated data used for industry insights
8.3 Client Commitment
Clients agree to keep confidential any proprietary information we share, including:
- Our research methods and vetting processes
- Host relationship strategies
- Internal systems and databases
- Upcoming opportunities not yet public
9. LIABILITY & INDEMNIFICATION
9.1 Limitation of Liability
To the fullest extent permitted by law:
Khatiya Connects shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Lost profits or revenue
- Lost business opportunities
- Damage to reputation
- Loss of subscribers or audience engagement
- Emotional distress
Maximum liability is limited to the total amount paid by client in the 3 months preceding the claim.
9.2 Client Indemnification
Client agrees to indemnify and hold harmless Khatiya Connects from any claims, damages, or expenses arising from:
- Client’s violation of these terms
- Client’s violation of any laws or third-party rights
- False or misleading information provided by client
- Client’s lead magnet or content infringing on copyrights
- Client’s failure to fulfill promotional commitments to hosts
9.3 Third-Party Services
We are not responsible for:
- Actions or inactions of collaboration hosts
- Changes to third-party platforms or policies
- Technical issues with email service providers, websites, or landing pages
- Loss of data due to third-party service failures
10. COMMUNICATION & APPLICATIONS
10.1 Email Management
We submit applications on client’s behalf using our dedicated collaboration’s business email with client’s information included.
All correspondence from hosts will be forwarded to client’s email address promptly.
10.2 Client Authorization
By engaging our services, client authorizes us to:
- Represent them in communications with collaboration hosts
- Submit applications using their business information
- Accept collaboration invitations on their behalf (pending client approval)
- Communicate promotional details to hosts as needed
10.3 Professional Standards
We maintain professional communication standards and expect the same from clients in all correspondence related to collaboration opportunities.
11. FORCE MAJEURE
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to:
- Natural disasters
- Pandemics or public health emergencies
- War, terrorism, or civil unrest
- Internet service disruptions
- Government actions or regulations
- Platform shutdowns or policy changes
In such events, obligations are suspended for the duration of the circumstance. If lasting more than 30 days, either party may terminate without penalty.
12. AMENDMENTS & MODIFICATIONS
12.1 Changes to Terms
We reserve the right to modify these Terms & Conditions at any time. Changes will be:
- Posted on our website with “Last Updated” date
- Emailed to active clients
- Effective 30 days after notice
12.2 Continued Use
Continued use of services after changes indicates acceptance of modified terms.
12.3 Client-Specific Agreements
Any modifications to these terms for specific clients must be documented in writing and signed by both parties.
13. DISPUTE RESOLUTION
13.1 Good Faith Resolution
In the event of any dispute, both parties agree to first attempt good faith resolution through direct communication.
13.2 Mediation
If direct resolution fails, parties agree to pursue mediation before initiating legal action.
13.3 Governing Law
These terms are governed by the laws of the Republic of Zambia, without regard to conflict of law principles.
13.4 Jurisdiction
Any legal action must be brought in the courts of Lusaka, Zambia.
14. MISCELLANEOUS
14.1 Entire Agreement
These Terms & Conditions, together with the client’s individual proposal and any signed agreements, constitute the entire agreement between parties.
14.2 Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
14.3 No Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
14.4 Assignment
Client may not assign or transfer their rights under this agreement without written consent. We may assign our rights to a successor business entity.
14.5 Independent Contractor
We are an independent contractor, not an employee, agent, or partner of client.

15. ACKNOWLEDGMENT
By engaging our services, you acknowledge that:
- You have read and understood these Terms & Conditions
- You agree to be bound by these terms
- You understand that collaboration results vary and are not guaranteed
- You accept responsibility for fulfilling your promotional commitments
- You authorize us to represent you in collaboration applications
- You understand the refund policy includes deductions for work completed
